Rate Protection: Members will continue at their contract rate through the length of their contract, regardless of any rate increases during that period.
In order to get the special price you most subscribe for a year and payment of the total yearly fee should be paid at once.
Limits of Liability: The liability of SouthFloridaOnlineDirectory.com for any error for which it may be held legally responsible will not exceed the cost of the space ordered or occupied by the error. SouthFloridaOnlineDirectory.com specifically assumes no liability for errors in key numbers. The SouthFloridaOnlineDirectory.com will not, in any event, be liable for direct, special, incidental or consequential damages, including but not limited to loss of income of profits.
Member will indemnify and hold us harmless from and against any claims, suits, threats, demands, settlements, actions, causes of action, liabilities, obligations and all other matters, including but not limited to court costs, attorney fees, witness fees, settlement fees, and all other direct and indirect expenses and losses that may occur arising from the breach of any of the representations and warranties that you have made to us and otherwise arising directly or indirectly from the placement of your advertising materials on our Web Site.
Payment Policies and Terms: All new members must pre-pay their first advertisement to establish credit. Subsequent ads may be billed, subject to credit approval. 1x advertisers must pre-pay with each insertion order and are required to submit a new contract for each ad. SFOD reserves the right to require prepayment for any advertiser with past-due advertising balances. Payment terms are net 30 days. Monthly payments are to be paid every month on the corresponding due date.
Yearly payments are made the day the membership starts.
Pre-payment Discounts: The offers are based on full payment of the year.
Delinquent Accounts
Overdue accounts will be charged a 1.5% per month finance charge beginning on the 31st day, on any outstanding balance.
Those accounts that are outstanding for 60 days or more will be restricted from advertising until full payment is received. Accounts more than 90 days past-due will be referred to our collection agency.
Approval: All advertising are subject to SFOD’s approval and SFOD’s reserves the right to reject or cancel any advertisement, insertion order, space reservation, or position commitment at any time, with or without notice to the member, and whether or not such advertising was previously acknowledged, accepted, or published. Acceptance of the advertisement by SFOD’s shall in no way constitute endorsement or recommendation by SFOD’s for the contents of the advertisement or the product or service advertised.
Changes: Members may occasionally make changes to their advertising material which SFOD must also approve. SFOD will charge members a $10 fee for making changes to their advertising materials on SFOD web site. Members will provide SFOD with all changed materials is desire to integrate. SFOD will use its reasonable efforts to make the changes that members submit within 3 days after SFOD approve the same.
Availability of the Ad: SFOD will use reasonable efforts to make the directory available for display through the World Wide Web, twenty four hours per day, and seven days per week. If members request in writing within two weeks of downtime, SFOD agrees to reimburse members for said downtime in excess of seven days for maintenance, backup, and other circumstances even though beyond SFOD control or which are a normal part of the Internet business.
Copyrights: SFOD will each retain all proprietary rights in and to the respective web sites and other proprietary materials such as copyrights, trademarks, trade secrets, patents and confidential information. SFOD does not grant the other any rights in and to such proprietary material except that members hereby grant SFOD a non-exclusive license to use the advertising material that members provide, including trademarks and copyrights, and the right to hyperlink to members’ site from SFOD during the term of this Agreement. Upon termination of this Agreement, SFOD agrees to remove the hyperlink and the advertising materials that members provided from SFOD’s Web Site within a reasonable time.
Contain of Ad: Members represent and warrant to SFOD that the advertising that members provide is not false and misleading, does not contain any untrue, defamatory, harmful, abusive, vulgar or obscene materials, is in compliance with all applicable laws, does not infringe upon the rights of any other party, including but not limited to copyrights, trademarks, privacy rights, moral rights, trade secrets, patents and any other rights. Member also warrant and represent that member have the unrestrictive and exclusive right to use all such materials.
